Terms and Conditions
Welcome to the Terms and Conditions of Ezro Utilities (“Service Provider”) regarding the provision of services to its esteemed customers (“Customers”). By accessing and utilising our Services, Customers agree to be bound by the terms and conditions set forth in this Agreement.
Liability for Loss
In the event of any loss resulting from an act or omission by the Service Provider in carrying out the Services, Customers may be compensated by the Service Provider subject to the provisions stated in Clause 9.4 of this Agreement.
Fees
Customers will not be charged directly by the Service Provider for the Switching Service or any other Service, except in cases where a Customer decides not to proceed with the transfer to the new energy supplier after agreeing to a contract. In such a case, the Service Provider reserves the right to levy an administration fee. Additional information can be found in Clause 4.18.
Commission
The Service Provider earns its revenue primarily through commission received from the energy supplier that the Customer is switched to, or from the Customer’s existing supplier if the Service Provider renews their contract. The commission is calculated based on the estimated consumption for the term of the contract and the commission agreement with the supplier. The rates arranged by the Service Provider with the supplier already include the commission, and no augmented payments are required from the Customer.
Furthermore, suppliers may offer additional payments to the Service Provider depending on the size and/or profitability of the account or new initiatives. For instance, if the Service Provider places multiple meters for the Customer or arranges a specific volume of contracts and/or repeat contracts with a supplier, the supplier may pay the Service Provider more commission than for a single switch. Additionally, the Service Provider may continue to receive a commission from the supplier even after the Customer’s contract has ended, but the Customer has not renewed the contract or switched elsewhere.
The Service Provider guarantees transparency and will disclose the amount of commission earned upon request by the Customer. For more information, please refer to Clauses 5.2 and 5.3.
Contract Arrangement
The Service Provider will arrange the Contract based on the information provided by the Customer. Before concluding the Contract, the Service Provider will confirm the Customer’s information by email, via the Call Centre or by letter. The Customer bears the responsibility of ensuring that the information provided is true, accurate, complete, reliable, and current, and for promptly informing the Service Provider of any errors or amendments required. If there is a need to amend or rectify any of the Customer information, this may cause a delay in the transfer or rejection by the Supplier. Please refer to Clause 4.16 for further information.
Customer Service
Our Customer Service team is available to assist Customers with specific queries regarding the terms and conditions. If a Customer feels that an issue was not handled appropriately, they are encouraged to contact the Service Provider. The Service Provider values Customer feedback and will investigate and remedy any mistakes or failures in service delivery to ensure optimal satisfaction.
Definitions
We welcome you to the Terms and Conditions of Service by Ezro Utilities Ltd (‘ Ezro Utilities ‘) governing the use of any of the Services offered to the Customer from time to time, whether via the Site, the Call Centre, or otherwise. Please review these Terms carefully before accepting and using the Services. By using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms as well as the terms and conditions stipulated in our Privacy Policy found at info.utilities@ezro.co.uk
If you disagree with these Terms and the Privacy Policy, do not utilize the Services.
1. Definitions
The following definitions apply to these Terms and Conditions of Service (‘Terms’):
Ezro Utilities
Refers to Ezro Utilities Ltd, a company registered in England and Wales under company number 14821986, with its registered and trading office located at the Ransom Hall, ransom Wood Businss Park, Southwell Road West Mansfield Notts NG21 0HJ.
Contract Cancellation Administration Fee
Refers to the fee as defined in clause 4.18.
Call Centre
Pertains to the call center operated by Ezro Utilities for the purpose of providing the Services.
Contract Checking Service
Refers to the service that Ezro Utilities agrees to provide to the Customer, whereby Ezro Utilities obtains on the Customer’s behalf, information about the Customer’s current contractual position with their Existing Supplier.
Credit Score Criteria
Refers to the credit rating requirements as determined and required by Ezro Utilities and/or the Supplier from time to time, enabling the Customer to qualify to use the Services and contract with a Supplier.
Customer
Means any non-domestic commercial Customer who meets the eligibility requirements in clause 3.2, and to whom Ezro Utilities agrees to supply any of the Services from time to time.
Do It For You
Refers to the renewal service provided by Ezro Utilities to the Customer, whereby the Customer appoints Ezro Utilities as its exclusive agent with the authority to negotiate, secure, and enter into new Supply Contracts on behalf of the Customer. Ezro Utilities is also authorized to terminate any existing Supply Contracts relating to each separate Supply Number during the applicable Term.
Existing Supplier
Refers to the Customer’s current third-party energy/utilities supplier.
Intellectual Property Rights
Refers to all intellectual property rights, including without limitation; copyright, patents, rights in inventions, design rights, trademarks, service marks (whether registered, unregistered, or the subject of an application to register), moral rights, database rights, rights in computer programs, semi-conductor topographies, confidential information, trade secrets, know-how, business, trade and domain names, rights in goodwill, and rights to bring a claim for passing off, unfair competition rights, and all similar, like and analogous rights wherever held in the world. In each case, these also include all extensions, revivals, and reversions thereof and, where applicable, all equivalent forms of protection which currently or in the future subsist.
Letter of Authority
Refers to a letter that the customer will sign, authorizing Ezro Utilities to act on their behalf and to contact and liaise with the Customer’s Existing Supplier, as required in the course of providing the Services.
Price Comparison Service
Refers to the service that Ezro Utilities agrees to provide to the customer, enabling them to obtain impartial information on Suppliers’ prices in relation to the services and products offered by the Suppliers.
Quotation
Refers to the quotation provided to the Customer by Ezro Utilities on behalf of a Supplier, setting out the terms and prices upon which a Supplier may agree to supply the Supplier Services to the Customer.
Services
Refers to the services provided by Ezro Utilities, whether via the Site, the Call Centre, or otherwise, to which the Customer subscribes from time to time. These shall include the Price Comparison Service, Do It For You, the Switching Service, and the Contract Checking Service.
Site
Refers to the website
Supplier
Refers to any third-party energy/utility supplier of services and/or products as may be chosen by Ezro Utilities and/or listed on the Site from time to time.
Supplier Services
Refers to the energy/utility supply services and/or products that a Supplier agrees to provide to a customer from time to time.
Supply Contracts
Refers to contracts with energy suppliers for the supply of electricity and/or gas.
Supply Number
Refers to electricity or gas meter points with administration or reference numbers.
Switching Service
Refers to the switching service that Ezro Utilities agrees to provide to the Customer, whereby Ezro Utilities agrees to either (i) facilitate the switching of the Customer to the Supplier, or (ii) assist in the renegotiation of the Customer’s arrangements with their Existing Supplier. In each case, this applies if the Customer has accepted a Supplier’s Quotation presented to it as part of the Price Comparison Service.
Switching Service
Refers to the switching service that Ezro Utilities agrees to provide to the Customer, whereby Ezro Utilities agrees to either (i) facilitate the switching of the Customer to the Supplier, or (ii) assist in the renegotiation of the Customer’s arrangements with their Existing Supplier. In each case, this applies if the Customer has accepted a Supplier’s Quotation presented to it as part of the Price Comparison Service.
2. Application of Terms and Conditions Switching Service
2.1 These Terms and Conditions shall apply to the provision of any services by the Company (hereinafter referred to as ‘ Ezro Utilities ‘) to a Customer and shall replace, supersede and prevail over any other terms or conditions contained or referenced elsewhere, whether in correspondence or otherwise, or inferred by trade, custom, practice or course of dealing, unless expressly agreed to in writing by Ezro Utilities or an authorised representative of Ezro Utilities.
2.2 Ezro Utilities reserves the right to supplement these Terms and Conditions with additional terms relevant to the provision of certain services, including, but not limited to, Contract Management Services. These additional terms may be posted on the Site or sent to the Customer, and the Customer agrees that any such additional terms are hereby incorporated into these Terms and Conditions.
3. Subscribing to the Services
3.1 To avail of any of the Services offered by Ezro Utilities, the Customer is required to register with Ezro Utilities via the Call Centre or the Site. However, Ezro Utilities reserves the right to decline registration of any business as a Customer at its sole discretion.
3.2 To qualify for registration to use Ezro Utilities ‘s Services, the Customer must meet the following requirements:
a) The Customer must be a business that is residing in the United Kingdom;
b) If the Customer is a sole trader, they must be aged eighteen years or over;
c) The Customer must satisfy any Credit Score Criteria as stipulated by Ezro Utilities and/or any Supplier; and
d) The Customer must be capable of providing all such pertinent information as demanded by Ezro Utilities to furnish the Services to the Customer.
4. Provision of Services
Provision of Services
4.1 If the Customer selects and Ezro Utilities agrees to provide the Price Comparison Service, Ezro Utilities shall make reasonable efforts to negotiate and secure competitive and favourable prices on behalf of the Customer. Ezro Utilities shall also furnish the Customer with any relevant Quotations procured by Suppliers for the Customer’s consideration. Ezro Utilities and the Supplier reserve the right to revise, alter or withdraw any Quotation at any time upon notifying the Customer.
4.2 The provision of any Quotation by a Supplier via Ezro Utilities does not constitute an offer to the Customer. The terms of a Quotation and the duration for which it shall remain valid will vary depending on the Supplier. The acceptance of a Quotation by the Customer shall be deemed a non-revocable offer by the Customer to engage the Supplier to provide Supplier Services. Once such an offer has been made by the Customer, the Customer shall be obligated to such offer and shall not be entitled to revoke it.
4.3 All offers made by the Customer shall at all times be subject to the Supplier’s approval. The Supplier shall be entitled to decline to accept a Customer’s offer for any reason at the Supplier’s sole discretion. No offer placed by the Customer shall be accepted by the Supplier other than (a) by a written acknowledgement executed and issued by the Supplier, or (b) (if earlier) by the Supplier beginning to provide any of the Services.
Do It For You Service
4.4 If the Customer selects and Ezro Utilities agrees to provide the Do It For You Service, Ezro Utilities shall make every reasonable effort to negotiate and secure a new Supply Contract in relation to any Supply Number at the best available rates for which the Customer is then eligible from Energy Suppliers featured in the Ezro Utilities Supplier Panel.
4.5 The Do It For You service shall commence on the date on which the Customer signs a copy of the Do It For You contract and shall end on the date on which either the Customer or Ezro Utilities terminates the agreement in accordance with the provisions set forth in the Do It For You Contract.
4.6 By signing the Do It For You contract, the Customer agrees to the terms of that contract, which also includes these general Ezro Utilities Terms and Conditions of Service.
4.7 The Customer then appoints Ezro Utilities to act as its exclusive agent in relation to the negotiation and execution of a new Supply Contract once the then-existing Supply Contract has reached its Do It For You date for that Supply Number or the first business day thereafter.
4.8 The Do It For You Date is one of twelve possible dates in the calendar year, with one occurring every calendar month. Ezro Utilities shall select the most suitable date that provides the optimum time frame to secure a new Supply Contract for the Customer. The date is stated in the Do It For You contract and shall be confirmed to the Customer upon signing.
4.9 The Customer has the right to terminate the Do It For You Service Contract by following the instructions set out in the Do It For You contract, and Ezro Utilities shall
take no action on the next Do It For You Date for any Supply Number(s) with respect to which the Term of its appointment has been terminated.
4.10 Ezro Utilities shall provide the Customer with updates at appropriate intervals to their designated email account, detailing the status of the Supply Contracts, the Do It For You dates for each Supply Contract, and a reminder of how to revoke the Do It For You contract with Ezro Utilities.
4.11 The Customer undertakes to inform Ezro Utilities promptly, and not less than 5 working days prior to any relevant Do It For You date, of any of the following:
4.11.1 A change of tenancy (COT) of the Customer
4.11.2 Any significant increase or decrease of electricity or gas requirements at the Customer’s premises.
4.11.3 If the Customer’s business changes hands or another party assumes financial responsibility.
4.11.4 If the Customer’s designated email address changes.
4.11.5 If the Customer’s business ceases trading, or enters into any form of insolvency procedure.
In such cases, any changes should be sent to Ezro Utilities via email at diy.utilities@ezro.co.uk or to our address.
4.12 If a new Supply Contract fails to go live for any unforeseen reason beyond Ezro Utilities ‘s control, the applicable Supply Number shall be removed from the Do It For You contract, and other Supply Numbers on the agreement shall not be affected.
4.13 Ezro Utilities may check the Customer’s credit score before the contract starts, before the start of a pricing period and at other times during this contract.
4.14 Ezro Utilities assures the Customer of making it easy to use the Do It For You service. Should the Customer feel that Ezro Utilities has not fulfilled this promise, the Customer may choose to claim against the ‘Make It Easy Guarantee.’ This guarantee entitles the Customer
Switching Service
4.15 If the Customer makes an offer based on a Quotation and if the Supplier accepts the Customer’s offer, Ezro Utilities will provide the Switching Service which will include organising the contract between the Supplier and the Customer (the “Contract”) for the supply and purchase of the Supplier Services. Ezro Utilities shall not be responsible for any delay or failure caused by any Supplier or Existing Supplier in relation to effecting any transfer.
4.16 Ezro Utilities will arrange the Contract based on the information provided by the Customer to Ezro Utilities. Prior to the completion of the Contract, the Customer’s information will be confirmed by Ezro Utilities with the Customer by email, via the Call Centre, or by letter. It is the Customer’s responsibility to ensure at this point that all the Customer information is true, accurate, complete, reliable, and current in all respects and to inform Ezro Utilities promptly if there are any errors and/or if any amendments are required. If any of the Customer information needs to be amended or rectified, this may result in the transfer being delayed or rejected by the Supplier.
4.17 Once the Contract is in the final form, Ezro Utilities will send a summary of the key terms of the Contract to the Customer. The Customer must check that all the details are correct and must inform Ezro Utilities of any errors and/or amendments within 24 hours of receipt.
4.18 If a Customer subsequently decides to not proceed with providing its custom to the Supplier in respect of which Ezro Utilities has performed the Price Comparison Service and the Switching Service, Ezro Utilities shall be entitled to charge the Customer an administration fee of £150 plus VAT (the “Contract Cancellation Administration Fee”).
4.19 The Customer agrees that within a reasonable time and by no later than 15 days prior to the last day upon which notice to terminate the Contract can be served by the Customer, the Customer shall contact Ezro Utilities so as to enable Ezro Utilities to perform the Price Comparison Service again on behalf of the Customer. Ezro Utilities shall also be entitled but not obliged to contact the Customer for the same purpose.
4.20 The Customer acknowledges that by entering into a contract with a Supplier, the Customer will be contracting directly with the Supplier and not with Ezro Utilities. The Customer agrees that Ezro Utilities is not liable in any way in relation to any transactions, dealings, or arrangements of any kind made between the Customer and any Supplier and that any such transaction, dealing or arrangements (including, without limitation, any payment obligations of the Customer thereunder) are the Customer’s sole risk and responsibility.
Contract Checking Service
4.21 If the Customer opts for and Ezro Utilities agrees to provide the Contract Checking Service, the Customer will be required to sign a Letter of Authority authorising Ezro Utilities to contact and liaise directly with the Customer’s Existing Supplier, and the Customer agrees to promptly provide to Ezro Utilities all such information and assistance as Ezro Utilities may require to carry out the Contract Checking Service.
4.22 Upon receipt of a signed Letter of Authority, Ezro Utilities will send to the Customer’s Existing Supplier a questionnaire requesting details of the key terms of the Customer’s arrangements with the Existing Supplier, including the contract end date,
notice period, termination process, current prices, and details of the Customer’s consumption.
4.23 Once Ezro Utilities has received a response to the questionnaire from the Existing Supplier, Ezro Utilities will use its reasonable endeavours to forward such a response to the Customer. However, Ezro Utilities shall not be responsible for any delay or failure by the Existing Supplier to respond to the questionnaire and/or to cooperate with Ezro Utilities in relation to any request Ezro Utilities may make whilst performing the Contract Checking Service.
4.44 For the avoidance of doubt, Ezro Utilities shall not be responsible for the provision of any Supplier Services.
5. Charges
5.1 Ezro Utilities provides its services to the Customer at no charge, with the exception of clause 4.18 which outlines an administration fee to be paid by the Customer in case they decide not to proceed with providing custom to the Supplier after Ezro Utilities has performed its services.
5.2 Ezro Utilities is compensated for its services via commission from the Supplier based on the estimated consumption for the duration of the Supply Contract and the agreed commission agreement between Ezro Utilities and the Supplier. This commission is included in the rates arranged by Ezro Utilities for the Customer, with no additional payments required from the Customer.
5.3 In some instances, Suppliers may provide Ezro Utilities with additional payments based on the size and profitability of their account with that particular Supplier or for new initiatives. For example, if Ezro Utilities places more than one meter for a Customer,
or arranges a certain volume of contracts and/or repeat contracts with a Supplier, that Supplier may pay Ezro Utilities more commission than for a single switch.
5.4 Additionally, Ezro Utilities may receive a commission from the Supplier Ezro Utilities places a Customer with even after the contract has ended, but the Customer has not renewed their contract or switched to another Supplier.
5.5 Ezro Utilities earns commission to ensure it can continue to provide its Customers with the highest quality service. The company measures the amount of commission it expects to earn on a single contract or meter per year in order to strike a fair balance between customer needs, trust, and maintaining a competitive position in the market.
5.6 Customers may request information on the amount of commission earned by Ezro Utilities for arranging the Supply Contract by emailing their Ezro Utilities Customer ID to email address
5.7 Any administration fee payable under clause 4.18 must be paid by the Customer no later than 30 days from the invoice date.
5.8 If the Customer fails to pay any amount payable under or in connection with these Terms, Ezro Utilities reserves the right to charge interest on the overdue amount from the due date until the actual payment date, at a rate of 8% per annum or the statutory rate of interest prescribed for judgments, whichever is higher. Alternatively, Ezro Utilities may claim interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.
6. Customer’s Responsibilities
6.1 In addition to the Customer’s other obligations as stipulated in these Terms, the Customer hereby provides the following warranties, representations, and undertakings:
a) The Customer shall diligently cooperate with the Supplier(s) in all matters pertaining to the Services, including but not limited to providing all relevant information in a timely manner as required by the Supplier(s) and/or Ezro Utilities. It is warranted that all Customer information provided shall be true, accurate, complete, reliable, and up-to-date in all respects.
b) The Customer shall consistently adhere to these Terms and any applicable terms and conditions imposed by a Supplier in relation to the provision of the Supplier Services.
c) The Customer acknowledges that any password, user details, and/or account number provided or created by the Customer to facilitate the use of the Services shall be treated as strictly confidential at all times. Ezro Utilities shall be entitled to presume that any individual utilizing the Customer’s password, user details, and/or account number is the Customer themselves or an authorized user. The Customer shall assume full responsibility and liability for the actions of any person utilizing the Customer’s password, user details, and/or account number and shall promptly notify Ezro Utilities of any unauthorized use thereof.
7. Intellectual Property Rights
The Customer acknowledges and agrees that all Intellectual Property Rights related to the Services, any information and/or materials provided to the Customer, the Site, and its content (including, but not limited to, the visual appearance and design of the Site) shall remain the exclusive property of Ezro Utilities and/or its licensors. Any use or attempted use of such Intellectual Property Rights without proper authorization shall constitute an infringement of Ezro Utilities’s (and/or its licensors) Intellectual Property Rights and may subject the Customer to both civil and criminal liabilities.
8. Termination
8.1 Without prejudice to any other rights and remedies available to Ezro Utilities, Ezro Utilities reserves the right to terminate or suspend the Services immediately upon written notice to the Customer under the following circumstances: (a) the Customer is in breach of any provisions of these Terms, and in the case of a remediable breach, such breach remains unremedied for a period of 7 days after Ezro Utilities has provided written notice specifying the breach; or (b) Ezro Utilities reasonably suspects that the Customer has engaged in or attempted to engage in any fraudulent activities against Ezro Utilities and/or any Supplier.
8.2 The Customer hereby agrees to indemnify, defend, and hold Ezro Utilities, its parent companies, subsidiaries, affiliates, and each of their respective officers, directors, employees, owners, agents, suppliers, contractors, partners, information providers, and licensors harmless from and against any and all claims, damages, liabilities, demands, losses, costs, and expenses (including legal fees), whether foreseeable or avoidable, incurred or suffered by any of the aforementioned parties, as well as any claims or legal proceedings brought or threatened, arising out of or in connection with the Customer’s use of the Services, any transactions, dealings, or arrangements entered into with third parties as a result of using the Services, or any breaches of these Terms or any applicable laws or the rights of any third party.
8.2 The Customer hereby agrees to indemnify, defend, and hold Ezro Utilities, its parent companies, subsidiaries, affiliates, and each of their respective officers, directors, employees, owners, agents, suppliers, contractors, partners, information providers, and licensors harmless from and against any and all claims, damages, liabilities, demands, losses, costs, and expenses (including legal fees), whether foreseeable or avoidable, incurred or suffered by any of the aforementioned parties, as well as any claims or legal proceedings brought or threatened, arising out of or in connection with the Customer’s
use of the Services, any transactions, dealings, or arrangements entered into with third parties as a result of using the Services, or any breaches of these Terms or any applicable laws or the rights of any third party.
9. Limitation of Liability
9.1 The Company shall exercise all reasonable skill and care in providing the Services. However, the performance of the Services by the Company may be dependent upon third parties (including, without limitation, Suppliers and Existing Suppliers), and the Company is not able to guarantee or accept any responsibility for any failure or delay caused by such third parties or for any inaccurate, incomplete, or unreliable information provided to the Customer by such parties via the Company.
9.2 It is the obligation of the Company to exert reasonable efforts to guarantee the accuracy, currency, and reliability of all pricing information furnished to the Customer as a component of the Pricing Comparison Service, in all significant aspects. Notwithstanding the preceding statement, it is hereby declared that the Company does not provide any warranty and disclaims all liability with respect to the precision, entirety, suitability for specific objectives, or lawfulness of any data obtained by the Customer through the utilisation of the Services, the Site, or any other information conveyed by the Company to the Customer.
9.3 The Company bears the responsibility to undertake reasonable measures to ensure that the pricing information provided to the Customer as a constituent of the Pricing Comparison Service is accurate, up-to-date, and dependable in all material respects. Pursuant to the aforementioned statement, it is hereby proclaimed that the Company does not offer any guarantee and renounces all accountability regarding the accuracy, comprehensiveness, appropriateness for particular purposes, or legality of any information acquired by the Customer through the utilisation of the Services, the Site, or any other information communicated by the Company to the Customer.
9.4 Pursuant to the aforementioned, in the event that the Company, through error, action, or failure to act, incurs a direct financial loss to the Customer as a result of the provision of Services, the Company shall provide compensation to the Customer for said direct loss according to the following terms:
(a) Pursuant to the terms and conditions set forth by the Company, it is imperative that the Customer file any claim within a period of three months from the date of identification of any mistake, act, or omission that has resulted in a direct loss. The Customer is also required to adhere to the Company’s claims process, which is elaborated in detail at email
(b) Pursuant to the terms and conditions of the agreement between the parties, it is hereby stipulated that in the event of any mistake, act, or omission by the Company, the Company’s total liability for any and all losses suffered by the Customer shall be strictly limited to the lesser of (i) the amount that the Customer would have saved but for the Company’s mistake, act, or omission; or (ii) the commission fee earned by the Company from the Supplier as a result of the Company securing and finalising the Contract between the Supplier and the Customer. The aforementioned commission fee can be ascertained by sending an email containing the customer ID to info.utilities@ezro.co.uk
(c) It is hereby acknowledged and agreed by the Customer that the Company shall not be held liable for:
(i) The Customer shall not be entitled to recover any damages that are not directly associated with their claim, including but not limited to any indirect loss, claim or damage, or any punitive, special, incidental, or consequential damages of any kind.
(ii) The party in question shall not be held liable for any loss of profit or savings.
(iii) The potential for loss or corruption of data or information is a matter of concern.
(iv) The potential consequences of the matter at hand may include the deprivation of contractual agreements, commercial ventures, or prospects for advancement.
The aforementioned clause pertains to any loss or damage, whether direct or indirect, arising from the use of the Services, the Site, and/or any related matter, including but not limited to breach of contract, negligence, or strict liability. This includes but is not limited to, loss of profits, business interruption, and damage to reputation or goodwill. The Company shall not be held liable for any such loss or damage, even if previously warned or aware of the possibility of such occurrence.
(a) for death or personal injury caused by the Company’s negligence;
(b) for fraud or fraudulent misrepresentation; or
(c) for any matter from which it is unlawful to exclude or attempt to exclude the Company’s liability.
10. Data Protection

The Company is hereby authorised by the Customer to conduct an inquiry into their supply particulars on pertinent industry databases for the purpose of furnishing a quotation or effecting a contract or transfer.
11. Force Majeure
In the event that the Company is unable to perform its obligations with respect to the provision of Services or its business due to acts, events, omissions, or accidents beyond its reasonable control, including but not limited to strikes, lockouts, or other industrial disputes, failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation, or direction, accident, breakdown of plant or machinery, fire, flood, storm, or default of suppliers or subcontractors, the Company shall not be held liable to the Customer. The Company shall be entitled to a reasonable extension of time to perform its obligations in such circumstances.
12. No Waiver
In the event that the Company fails to promptly enforce any of its rights as stipulated in these Terms and Conditions, it shall not be construed as a relinquishment or abandonment of said rights, unless the Company explicitly acknowledges and consents to such a waiver in written form.
13. Severability
In the event that any provision or portion thereof contained within these Terms and Conditions is determined to be invalid, illegal, or unenforceable, said provision or portion thereof shall be considered stricken from these Terms and Conditions. In the event of a deemed deletion, it is hereby stated that the validity, legality, or enforceability of the remaining provisions of these Terms and Conditions shall not be affected
14. Third Party Rights
Subject to clause 9.2, it is the mutual understanding of the parties that the stipulations set forth in these Terms and Conditions are of a personal nature and do not aim to bestow any entitlements for enforcement upon any third party. It is hereby declared that the provisions of the Contracts (Rights of Third Parties) Act 1999 shall not be applicable to the present Contract or any of its provisions, except for clause 9.2.
15. Transfer of Rights and Obligations
15.1 Both the Customer and the Company, as well as their respective successors and assigns, are legally bound by the provisions herein.
15.2 The customer is prohibited from transferring, assigning, charging, or otherwise disposing of these Terms and Conditions or any of its rights or obligations arising under them without obtaining the prior written consent of the Company.

16. Entire Agreement
